Terms of Service

Welcome to NALO. These Terms of Service (“Terms”) govern your access to and use of the NALO mobile application and related services (collectively, the “Service”). Please read these Terms carefully before using NALO.

1. Description of Service

NALO is a personal finance application that provides:

• Financial account aggregation via Plaid
• Net worth tracking and spending analysis
• AI-powered financial coaching and insights
• Behavioral pattern recognition
• Financial projections and scenario modeling
• Subscription management tools

2. Not Financial Advice

The insights, projections, and recommendations provided by NALO — including those from our AI coaching feature — are for informational purposes only. They are based on the data you provide and general financial principles, not your complete financial situation or goals.

“What If” projections are hypothetical illustrations based on assumptions you provide. Actual results will vary. Past performance does not guarantee future results.

3. Eligibility

To use NALO, you must:

• Be at least 18 years old
• Be capable of forming a binding contract
• Not be prohibited from using the Service under applicable law
• Have a valid financial account with a supported institution

4. Your Account

Registration

You must create an account to use NALO. You agree to provide accurate, complete information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at security@nalo.app if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

One Account Per Person

Each person may only maintain one NALO account. Creating multiple accounts may result in termination of all accounts.

5. Connecting Financial Accounts

NALO uses Plaid Inc. to connect to your financial institutions. When you connect an account:

• You authorize Plaid and NALO to access your financial data
• You confirm you have the right to authorize this access
• You agree to Plaid's End User Privacy Policy
• You understand that data accuracy depends on your financial institutions

We are not responsible for errors, omissions, or delays in data from your financial institutions.

6. Subscriptions and Payments

Subscription Plans

NALO offers subscription plans with different features and pricing. Current plans and pricing are displayed in the app and on our website. We reserve the right to modify pricing with 30 days notice.

Payment Processing

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You agree to Stripe's terms of service.

Billing Cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled. You will be charged on the same day each month/year.

Cancellation

You may cancel your subscription at any time through the app or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then. We do not provide refunds for partial billing periods.

Free Trials

We may offer free trials. At the end of a trial, your subscription will automatically convert to a paid plan unless cancelled. You may cancel anytime during the trial without being charged.

7. Acceptable Use

You agree not to:

• Use NALO for any illegal purpose
• Provide false or misleading information
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Service without permission
• Share your account with others or sell access
• Use the Service to harm others or engage in harassment
• Circumvent any access or usage restrictions

8. Intellectual Property

Our Rights

NALO and its content, features, and functionality are owned by NALO and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Rights

You retain ownership of your financial data. By using NALO, you grant us a limited license to use, process, and display your data solely to provide the Service. This license ends when you delete your account.

Feedback

If you provide feedback, suggestions, or ideas about NALO, you grant us the right to use them without compensation or attribution.

9. Third-Party Services

NALO integrates with third-party services including Plaid, Stripe, Firebase, and OpenAI. Your use of these services is subject to their respective terms. We are not responsible for third-party services and do not endorse them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The data will be accurate, complete, or timely
• Any defects will be corrected
• The Service will meet your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NALO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY TORT, BREACH OF CONTRACT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless NALO and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you provide

13. Termination

By You

You may terminate your account at any time by deleting it through the app settings or contacting support.

By Us

We may suspend or terminate your account at any time for any reason, including violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.

Effect of Termination

Upon termination, we will delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution.

14. Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to try to resolve issues informally by contacting us at legal@nalo.app. We will try to resolve disputes within 60 days.

Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted individually — class actions and class arbitrations are not permitted.

Exceptions

Either party may seek injunctive relief in court for intellectual property disputes. Small claims court is also available for qualifying disputes.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NALO regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.
